These Terms of Service (“Terms”) govern your use of the Talaps platform/app and related services (“Services”) provided by Granite Peak Global Inc. (“Talaps,” “we,” “us,” or “our”). By using our Services, you agree to these Terms. If you do not agree, please do not use our Services.

What Granite Peak Global Inc. Does: Granite Peak Global Inc. is a financial technology company, not a bank or money transmitter. We provide a platform under the trade name “Talaps” to help you manage self-custody cryptocurrency wallets and connect with third-party partners for regulated financial services (e.g., bank accounts, investing, asset ramping).

Granite Peak Global Inc. is registered as a Money Services Business (MSB) with FinCEN (Reg.-No.: 31000309483276).

1. Eligibility

To use Talaps, you must:

  • Be at least 18 years old.
  • Provide accurate registration information and successfully pass our Identity Verification (KYC) process.
  • Comply with all local and international laws.
  • Not be a resident of any OFAC-sanctioned jurisdictions or restricted countries. You can find the list of supported countries here.

2. Your Account & Wallets

You grant us permission to create financial accounts and custody-wallets on your behalf.

3. Third-Party Partners

Regulated financial services (virtual bank accounts, currency exchanges, card issuance) are delivered entirely by our licensed partners. When using these features, you are also subject to their respective terms and conditions.

4. User Responsibilities & Prohibited Activities

You agree not to:

  • Use Talaps for any illegal activity, including money laundering or terrorist financing.
  • Circumvent our security, use cryptocurrency mixers/tumblers, or trade on darknet marketplaces.
  • Provide false information or access the platform/app via automated bots without permission.
  • Fail to declare or pay any applicable taxes on your crypto transactions.

5. Fees, Limits, & Availability

  • Fees: Fees may apply to certain services and will be clearly shown or included in the presented exchange rates.
  • Limits: Transaction limits apply based on your identity verification tier and partner requirements.
  • Availability: We do not guarantee uninterrupted uptime. Services may be temporarily paused for maintenance, technical updates, or due to third-party partner dependencies.

6. Account Deactivation & Termination

  • By You: You can deactivate your account at any time. Ensure you clear pending transactions and transfer your funds first. Regulated data is securely retained for 5 years post-deactivation to comply with financial laws, after which it is permanently deleted.
  • By Us: We reserve the right to immediately suspend or close your account if you violate these Terms, provide false data, pose a security risk, or if we suspect illegal activity.

7. Disclaimers, Liability, & Indemnification

  • “As Is” Disclaimer: Services are provided on an “as is” and “as available” basis without any warranties.
  • Limitation of Liability: To the maximum extent permitted by law, Talaps is not liable for indirect damages, loss of profits/data, network failures, crypto market volatility, or the actions of third-party partners.
  • Liability Cap: Our total liability to you is strictly limited to the fees you paid us in the 12 months preceding the incident.
  • Indemnification: You agree to defend and hold Talaps harmless from any claims, losses, or legal expenses arising from your violation of these Terms or misuse of the Services.

8. Dispute Resolution & Binding Arbitration

Please read this carefully as it affects your legal rights.

  • Arbitration Agreement: You agree that any dispute arising from these Terms or our Services will be resolved through individual, binding arbitration under the American Arbitration Association (AAA) rules, rather than in court.
  • Class Action Waiver: You waive your right to a jury trial or to participate in any class-action lawsuit or class-wide arbitration.
  • Venue: Arbitration will take place in Delaware, unless applicable local law requires otherwise.

9. General Terms

  • Governing Law: These Terms are governed by the laws of the State of Delaware.
  • Electronic Communications: You consent to receive all notices, disclosures, and policy updates electronically via notifications or your registered email.
  • Intellectual Property: Talaps owns all rights and titles to the platform/app and its features. You may not copy or reverse-engineer our software.
  • Changes to Terms: We may modify these Terms at any time. Continued use of the platform/app after updates are posted constitutes your acceptance of the revised Terms.
